1. Definitions

In these Terms and Conditions, the following words and expression shall have the following meanings unless the context otherwise requires:

Customer, you or your:means a person who redeems items on the Platform.

Platform:includes our platform and applications.

Direct Top-up:means a direct deposit of game currencies on the Platform through the information provided by you.

Voucher:means an electronic Voucher redeemed on the Platform which contains a stored value available for redemption.

MGMAX, we or our:means MGMAX SDN. BHD, with its registered address at (1) NO. 55A, JALAN GUNUNG LAMBAK 1, TAMAN GUNUNG LAMBAK, KLUANG, JOHOR, 86000, MALAYSIA.

Product:means the gaming currencies for the various games, offered on the Platform for redemption of.

Services:means the services provided by MGMAX on the Platform, including, without limitation, the services as listed in Clause 8 below, subject to the conditions in these Terms and Conditions.

Terms and Conditions or Terms:means these Terms and Conditions governing the use of the Services by you as may be amended at any time and from time to time as and when MGMAX shall in its absolute discretion deems necessary and shall include: (i) any rules, procedures, Terms and Conditions for products, services or facilities, as determined by MGMAX from time to time; and (ii) any documents, directives, correspondence and agreements referred to in these Terms and Conditions and forming a part hereof, together with any amendments made at any time or from time to time to any of the foregoing.

2. By using our site you accept these Terms

2.1By ticking the "I agree to MGMAX SDN. BHD's Terms & Conditions" box on the platform, you confirm that you accept these Terms and Conditions of use and that you agree to comply with them.

2.2If you do not agree to these terms, you must not use our Platform.

2.3We recommend that you print a copy of these terms for future reference.

4. We may make changes to these Terms

We may amend these Terms from time to time. Every time you wish to use our platform, please check these terms to ensure you understand the Terms that apply at that time.

5. We may modify, suspend or withdraw our site

5.1We reserve the right to update or modify our platform from time to time. We do not guarantee that our platform, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our platform at any time without ascribing any reasons.

5.2We may, at our sole discretion and at any time, suspend or terminate your access to or disable your use of the Services and/or the MGMAX Platform for any reason without prior notice to you, including if we suspect fraud, illegal, unauthorised or improper conduct on your part, or if you have breached any part of these Terms. We may also impose limits on the type and/or amount of transactions you are allowed to make using the Services at any time in our sole discretion without prior notice.

5.3You are also responsible for ensuring that all persons who access our platform through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

6. Ownership and Intellectual Property

6.1This platform is owned and operated by MGMAX.

6.2While the platform is branded by Mastercard as they are the exclusive distributor, the platform is owned and managed by MGMAX.

6.3The materials located on this platform, including the information as well as any software programmes made available on or through this platform (the "Contents"), are protected by copyright, trademark and other forms of intellectual property rights.

6.4All intellectual property rights with regards to the Products and games, belong to their legal owners, publishers, and/or licensees. MGMAX is not related to, or associated with, any of the said legal owners, publishers, and/or licensees in any way.

6.5All Services offered on the Platform are offered by MGMAX, and not the said legal owners, publishers, and/or licensees of the games.

7. Restrictions on use of materials

7.1Except as otherwise provided, the Contents or Services of this platform shall not be produced, republished, uploaded, posted, transmitted or otherwise distributed in any way.

8. Services Provided

8.1MGMAX provides two types of Services for its users:

(a) Direct Top-Up

(i)Upon selecting this option, and confirming the relevant information (i.e. game name, server, game user id, character name, account name, amount of game currency redeemed, amount of loyalty points to be used) are correct, a confirmation email will be sent to you, and the requested top-up will be done within few hours

(b) Voucher

(i)Upon selecting this option, and confirming the relevant information (i.e. game name, server, amount of game currency redeemed, amount of loyalty points to be used) are correct, a confirmation email will be sent to you, and the Voucher Redemption Code will be sent to the email address provided by you, within the next 1 hour.

8.2We shall not be held responsible for any wrong redemptions made by you due to your negligence and/or any false/wrong information provided, which may result in the Direct Top-Up, or Voucher, transaction failing for any reason, including but not limited to the crediting of game currency to the wrong account, or the Voucher wrongly sent to the wrong email address based on the information submitted by you.

8.3Any Direct Top-Up, or Voucher, redeemed with us, are neither refundable nor exchangeable.

8.4We shall also not be held responsible for any loss or damage of the Voucher, and any loss or damages suffered by the holder of the Voucher that arises from, or in connection with, the Voucher and/or its use.

8.5By the redemption of any products from us, you understand, acknowledge and accept this release of liability under this Clause 8, as well as Clause 9 below.

9. Disclaimer of liability

9.1The Contents of this platform are provided on an "as is" basis without warranties of any kind. To the fullest extent permitted by law, we do not warrant and hereby disclaim any warranty:-

(a)as to the accuracy, correctness, reliability, timeliness, non-infringement, title, merchantability or fitness for any particular purpose of the Contents of this platform; and

(b)that the Contents available through this platform or any functions associated therewith will be uninterrupted or error-free, or that defects will be corrected or that this platform and the server will be free of all bugs, viruses and/or other harmful elements.

9.2We shall not be liable for any damage or loss of any kind, howsoever caused as a result (indirect or direct) of the use of this platform and/or Services, including but not limited to any damage or loss suffered as a result of reliance on the Contents contained or available from this platform.

9.3The Contents of this platform do not constitute financial, legal or other professional advice. If financial, legal or other professional advice is required, services of a competent professional should be sought.

9.4You are responsible for configuring your information technology, computer programmes and platform to access our Platform. You should use your own virus protection software.

10. We are not responsible for platforms we link to

Where our platform contains links to other platforms and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked platforms or information you may obtain from them. We have no control over the contents of those platforms or resources.

11. Rules about linking to our site

11.1You may not establish a link to the home page or to any other page on our Platform without our express written consent. Even if consent is provided, you may only establish a link to the home page or to any other page on our Platform in a way that is fair and legal and does not damage our reputation or take advantage of it.

12. Confidentiality and use of Data

12.1By placing an order via the Platform, you commit that all information you have provided to MGMAX are true and accurate.

12.2You acknowledge that (1) MGMAX is responsible for the collection and processing of your personal data when you use this Platform, and (2) Mastercard does not process any personal data collected through this Platform.

12.3Regarding further information on the privacy and processing of your personal data/personally identifiable information, please refer to our Privacy Policy, available on the Platform. These Terms and Conditions shall supersede the Privacy Policy, should any conflict arise.

13. Limitation on Liability

13.1You agree and confirm that you shall not hold MGMAX, its employees, agents or licensees, liable for any special, incidental or consequential damages arising out of and in relation to the Services or these Terms of Service.

14. Indemnification

14.1You agree to indemnify, defend, and hold harmless, MGMAX and their respective officers, directors, employees, agents, licensors, representatives, and third-party providers, from and against any and all claims, actions, proceedings, losses, liabilities, expenses, damages, and costs, including but not limited to attorneys' fees, arising out of or in connection with your use of the Services and/or any violation by you of these Terms.

15. Product Information

15.1All images used to illustrate the Products and Services are for illustrative, and identification purposes only. These images are non-contractual, do not form any part of any contract between you and MGMAX, and do not bind us in any way.

15.2Unless expressly indicated otherwise, MGMAX is not the manufacturer of the products sold on the Platform. While we work to ensure that Product information on our Platform is correct, the actual Product may contain more and different information to that displayed on our Platform. All information about the Products on our Platform is provided for informational purposes only. We recommend that you do not rely solely on the information presented on our Platform and always read labels, warnings, and directions provided with the Product before use.

16. Waiver

16.1No delay or omission by us in exercising any of our rights or remedies under this Agreement or otherwise available to it shall impair such right or remedy or constitute a waiver thereof, nor shall any single or partial exercise of such right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy.

17. Entire Agreement

17.1This Terms supersedes all prior discussions and writings with respect to the subject matter, and constitutes the entire agreement between us with respect to the subject matter hereof. No modification of this Terms will be binding upon us unless made in writing and signed by a duly authorized representative of MGMAX.

18. Severability

18.1If any provision of these Terms or part thereof is rendered void, illegal or unenforceable by any legislation to which it is subject, it shall be rendered void, illegal or unenforceable to that extent and it shall in no way affect or prejudice the enforceability of the remainder of such provision or the other provisions of these Terms. The invalidity, illegality or unenforceability of any provision in this Terms under the laws of any one jurisdiction shall not in itself affect the validity, legality and enforceability of such provisions under the laws of any other jurisdiction.

19. Notices

19.1Any or all notices that we may be required by law to make in electronic format (such as but not limited to communications with regards to your transaction, or under the Privacy Policy). You consent to receive communications from us in electronic form as stated above, and agree that all terms and conditions, notices, rules, disclosures, policies, and other communications from MGMAX as may be provided from time to time, electronically to you, shall be deemed to satisfy any legal requirement relating to communications in writing and shall be deemed to be given on the date of the electronic communication.

20. Governing law and Regulations

20.1These Platform Terms and Conditions shall be governed and construed in accordance with the laws of Singapore.

20.2Where required, you shall obtain the approval or consent or permission of the relevant regulatory authorities prior to using the Services.

20.3For cross-border transactions, you shall not violate the laws existing in the countries involved in the transaction.

20.4Any dispute arising out of or in connection with this policy, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC Rules) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English. The law for the arbitration agreement shall be Singapore law.
